Terms of Service

By accessing or using Ayari ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

Ayari ("the Service") is operated by Aiether Ltd ("Aiether"). These Terms constitute a binding agreement between you and Aiether Ltd ("we", "us", or "our").

Ayari is an AI-powered executive assistant that helps manage your email and calendar through integration with Microsoft 365 services. The Service:

• Connects to your Microsoft account via OAuth 2.0
• Reads and sends emails on your behalf with your explicit permission
• Manages calendar events and scheduling
• Provides AI-powered assistance and automation
• Generates summaries and insights from your communications

Important: Understanding how we handle your data:

• Email/calendar caching: We cache your email and calendar data in our database to provide fast panel access (under 100ms loading times)
• Email body retention: Email body content is cached for 30 days, then automatically purged
• AI processing: When you request summaries or drafts, we send relevant content (up to ~2000 characters) to AI providers (Anthropic, OpenAI via OpenRouter, Google via OpenRouter) who process it without training on your data
• Conversation storage: Your conversations with the AI assistant and generated summaries are stored in our database and can be deleted by you at any time
• Draft emails: Emails you compose through Ayari are stored until you send or delete them
• Attachment handling: Attachment files are never stored - they're downloaded directly from your provider when needed
• Data deletion: You can delete all your data at any time by deleting your account

Ayari uses Microsoft Graph and Google APIs to access your Microsoft 365 and Google Workspace data. By using our Service, you acknowledge that:

• You grant Ayari permission to access your accounts with the following scopes (examples):
  • Microsoft: Mail.Read, Mail.Send, Calendars.ReadWrite, User.Read
  • Google: Gmail read-only, Gmail send, Calendar events (read/write), basic profile
• You can revoke these permissions at any time through your Microsoft account settings or your Google account permissions
• We access your data only when you actively use the Service
• Your credentials are never stored; we use secure OAuth tokens

You agree to:

• Provide accurate account information
• Maintain the security of your account credentials
• Use the Service in compliance with all applicable laws
• Not use the Service for spam, harassment, or illegal activities
• Not attempt to reverse engineer or compromise the Service
• Accept responsibility for all activities under your account

Ayari offers various subscription tiers. By subscribing:

• You authorize recurring payments based on your selected plan
• Payments are processed securely through Stripe
• You may cancel your subscription at any time
• Refunds are provided according to our Refund & Cancellation Policy
• We reserve the right to change pricing with 30 days notice

If you are a consumer in the UK/EU, you may have a 14-day right to cancel for digital services. You can consent to immediate supply and acknowledge that your right to cancel will be lost once full performance begins. See /refunds for details.

While we strive for 99.9% uptime, we cannot guarantee uninterrupted service. We reserve the right to:

• Modify or discontinue features with reasonable notice
• Perform maintenance that may temporarily affect availability
• Update these Terms with notice to users
• Suspend accounts that violate these Terms

The Service, including its original content, features, and functionality, is owned by Ayari and is protected by international copyright, trademark, and other intellectual property laws. Your data remains your property.

Disclaimer: Ayari is provided "as is" without warranties of any kind. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Actions taken based on AI-generated suggestions
• Third-party service interruptions (Microsoft, Stripe, etc.)

Our total liability shall not exceed the amount you paid for the Service in the past 12 months.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. If you are a consumer in the UK/EU, your mandatory statutory rights remain unaffected.

Either party may terminate this agreement:

• You may cancel your account at any time through account settings
• We may suspend or terminate accounts that violate these Terms
• Upon termination, your right to use the Service ceases immediately
• You may request data export before account deletion

These Terms are governed by the laws specified in our agreement, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration or small claims court, as applicable.

If you are a consumer in the UK/EU, you also benefit from any mandatory provisions of the law of the country where you reside, and you may bring proceedings in the courts of that country. Nothing in these Terms affects your mandatory consumer rights.
